Terms of Service

Agreement to Terms

Mawlawi Tech Solutions ("Company," "we," "our," or "us") provides technology consulting and software development services. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms").

Services

Mawlawi Tech Solutions provides technology consulting and software development services, including but not limited to:

  • Web application development
  • Mobile application development
  • Cloud services and infrastructure
  • AI and machine learning solutions
  • Cybersecurity consulting
  • Software consulting and technical advisory
  • Design and branding services

Specific services, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or service agreement between you and the Company.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Respond to requests for information, feedback, or approvals in a timely manner
  • Ensure you have the rights to any content, data, or materials you provide to us
  • Make payments according to the agreed-upon schedule
  • Designate a primary point of contact for project communication
  • Review and provide feedback on deliverables within agreed timeframes

Intellectual Property

Client Materials

You retain all ownership rights to materials, content, and data you provide to us. You grant us a limited license to use these materials solely for the purpose of providing our services.

Deliverables

Upon full payment, you will own all custom work product created specifically for your project as outlined in the applicable SOW or agreement.

Pre-existing Materials

We retain ownership of all pre-existing tools, code libraries, frameworks, methodologies, and know-how used in delivering our services. We grant you a non-exclusive license to use any such materials incorporated into your deliverables.

Payment Terms

  • Payment terms will be specified in your service agreement or SOW
  • Invoices are due within 30 days of receipt unless otherwise agreed
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend services for overdue accounts
  • All fees are non-refundable unless otherwise stated in writing

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our engagement. This includes, but is not limited to:

  • Business strategies and plans
  • Technical specifications and source code
  • Customer data and personal information
  • Financial information
  • Any information marked as confidential

This obligation survives the termination of our business relationship.

Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAWLAWI TECH SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Mawlawi Tech Solutions and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your breach of these Terms, your use of our services, or your violation of any third-party rights.

Termination

Either party may terminate services with written notice as specified in the applicable service agreement. Upon termination:

  • You will pay for all services rendered up to the termination date
  • We will deliver all completed work product
  • Both parties will return or destroy confidential information
  • Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts located in Harris County, Texas.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any applicable service agreements or SOWs, constitute the entire agreement between you and Mawlawi Tech Solutions regarding our services and supersede all prior agreements and understandings.
